1. Why do I need a Registered Agent?

Entities formed under Delaware law are required by statute to appoint a Registered Agent.  The Registered Agent must be present at a designated location in the State, to accept service of process and otherwise perform the functions of a Registered Agent for the entity.

Essentially, the law requires that there is a designated person/entity available to accept legal notice and ensure that such important information is received by the entity.

2. What does "situs" mean and why is it so important?

"Situs" (Latin for position or site) is where something is located for legal purposes.  In general, "situs" of an entity determines which laws are applicable to the entity.
