Duties

As Registered Agent, PBC Wealth Protection, Inc. receives service of process when a client is named a party in a legal action such as a lawsuit or summons. PBC Wealth Protection, Inc. then forwards such service of process to the client immediately, via overnight, priority mail. PBC Wealth Protection, Inc. also receives paperwork sent by the State of Delaware pertaining to annual renewal of the client’s business charter such as Annual Reports, and tax notices, and forwards same to the client directly and promptly.

In addition to serving as Registered Agent, PBC Wealth Protection, Inc. offers services as Sublessor of office space, from our location at 501 Silverside Road in Wilmington, Delaware. PBC Wealth Protection, Inc. provides the client with a unique address and suite number in Delaware in order to fully "situs" the client in the State of Delaware. "Situs" (Latin for position or site) is where something is located for legal purposes.  In general, “situs” of an entity determines which laws are applicable to the entity.  Therefore, by having a business address in Delaware, the client can help to ensure that favorable Delaware law will govern its affairs. We can also house the client’s corporate documents in Delaware to further establish a Delaware situs for the client.
